Filing Resolutions

Minute Book is required to be prepared by every company which consolidates all the discussions and resolutions passed in the meeting of directors and shareholders. Such Ordinary and Special Resolutions are required to be filed with the MCA as a mandatory compliance. Resolutions are required to be filed in MGT-14 for issuing capital, change in the registered office of the company, appointment and removal of directors etc. Non compliance with any of the above may result into heavy penalties

Maintaining statutory registers

Statutory Register alludes to specialized records on the directors, shareholders, and meetings of a firm. In addition to the standard accounting records that businesses are required to maintain, these records are also kept. The majority of businesses maintain their statutory registers in bound books or loose-leaf binders, but they are also permitted to maintain them electronically. Every firm must submit these data to the ROC (registrar of companies) in accordance with the Companies Act of 2013, within the allotted timeframes, and with the appropriate fees.

Maintaining Minutes Books

The registered office of a corporation is required to keep the book of accounts. The Board of Directors may, however, opt to preserve or maintain the book of accounts at any other place that is appropriate for the business after notifying the Registrar of Companies.
